On July 5, 2019, the European Commission granted approval, without conditions, of the proposed merger (the Merger) between Fidelity National Information Services, Inc.(FIS) and Worldpay, Inc. (Worldpay) contemplated by the agreement and plan of merger (the Merger Agreement), dated March 17, 2019. FIS and Worldpay have now received all required regulatory approvals needed to consummate the Merger. Subject to the satisfaction or waiver of the remaining customary contractual conditions set forth in the Merger Agreement, including receipt of the requisite shareholder approvals at each of FIS and Worldpays special meetings to be held on July 24, 2019, the parties expect to consummate the Merger on or about July 31, 2019.
